We are seeking an experienced Entertainment Attorney to help structure the legal and financial foundation of the film and ensure full compliance with securities laws and New Mexico film incentive programs. Responsibilities Draft and finalize LLC Operating Agreement for the production entityStructure and draft Investor Agreements (Private Placement / Investment Docs)Design and document Revenue Waterfall Structure (including recoupment + profit participation)Prepare Risk Disclosures and investor-facing legal documentationAdvise on securities law compliance related to film investmentProvide guidance on New Mexico Film Tax Incentives and compliance requirementsCoordinate with producers, accountants, and financial team to align legal and financial structureReview contracts for cast, crew, and key vendors as neededRequirements Licensed attorney in New Mexico (required)Demonstrated experience in entertainment law, specifically film or media productionStrong knowledge of:Film financing structuresInvestor agreements and securities compliance (Reg D, etc.
